Any service not clearly included in the agreed scope is excluded.
Additional work will require additional fees.
7. Quotations
Unless stated otherwise, quotations are valid for 14 calendar days only.
COMTASK may revise or withdraw any quotation before acceptance.
Prices may change due to:
- Scope changes
- Urgent timelines
- Client delays
- Supplier cost changes
- Currency fluctuation
- Government fees
- Customs charges
- Third-party platform costs
- Regulatory changes
- Additional requirements
Unless clearly stated in writing, prices exclude VAT, government fees, customs fees, bank charges, courier costs, platform fees, licensing fees, software fees, hosting fees, advertising spend, third-party costs, and out-of-pocket expenses.
8. Payments
Payment terms will be stated in the quotation, invoice, or agreement.
Unless agreed otherwise:
- Work starts only after required payment is received
- COMTASK may pause or cancel work for late payment
- Deliverables may be withheld until full payment is received
- Third-party costs must be paid in advance
- Bank charges and transfer fees are the client’s responsibility
- All unpaid invoices remain due even if the client stops responding or cancels the project
COMTASK may charge reasonable administrative, recovery, collection, and legal costs for overdue payments, subject to applicable law.
9. Taxes and Government Charges
The client is responsible for all applicable taxes, VAT, duties, customs charges, government fees, registration fees, and regulatory charges unless expressly agreed otherwise in writing.
COMTASK is not responsible for any penalty, delay, rejection, or loss caused by the client’s failure to meet tax, customs, licensing, or regulatory obligations.
10. Refunds and Cancellations
All payments are non-refundable unless COMTASK agrees otherwise in writing.
COMTASK may reject a refund where:
- Work has started
- Research, planning, design, consultation, sourcing, procurement, or preparation has been done
- Third-party costs have been paid or committed
- The service is custom-made
- The client delayed, changed, or cancelled the project
- Deliverables were provided
- The client failed to provide required information
- The client breached these Terms
If COMTASK approves a refund, COMTASK may deduct completed work, administrative costs, third-party costs, transaction fees, bank charges, and any loss caused by the cancellation.
11. Client Responsibilities
The client must:
- Provide accurate, complete, and lawful information
- Provide documents and approvals on time
- Review work within agreed timelines
- Give clear and consolidated feedback
- Pay all fees on time
- Confirm that supplied materials are legally owned or licensed
- Obtain all required permits, licenses, customs approvals, platform approvals, and regulatory approvals
- Use COMTASK deliverables lawfully
- Ensure their own compliance with UAE law and the law of any other relevant country
COMTASK is not liable for any delay, error, rejection, penalty, or loss caused by the client’s incomplete, inaccurate, late, unlawful, or misleading information.
12. Client Approvals and Delays
If the client delays feedback, approval, payment, documents, or access, COMTASK may extend timelines, pause work, revise fees, or close the project.
If the client does not respond for more than 15 calendar days, COMTASK may treat the project as inactive.
Reactivation may require additional fees.
13. Third-Party Services
COMTASK may use or recommend third-party suppliers, platforms, software, payment processors, logistics companies, cloud services, advertising platforms, hosting providers, freelancers, consultants, or contractors.
COMTASK is not liable for:
- Third-party downtime
- Platform suspension
- Software bugs
- Supplier delays
- Payment gateway errors
- Shipping or customs delays
- Account restrictions
- Marketplace policy changes
- Advertising rejection
- Security incidents caused by third parties
- Changes in third-party pricing, terms, features, or availability
The client is responsible for reviewing and accepting third-party terms before using third-party services.
14. Digital Marketing, Advertising, and SEO
COMTASK may provide digital marketing, content, advertising, SEO, analytics, social media, campaign, and automation services.
COMTASK does not guarantee:
- Sales
- Leads
- Search ranking
- Website traffic
- Conversion rate
- Social media growth
- Advertising approval
- Platform account approval
- Viral reach
- Revenue increase
- Return on ad spend
- Continuous campaign performance
Performance depends on market conditions, client budget, competition, platform algorithms, audience behavior, product quality, pricing, brand reputation, and third-party rules.
The client is responsible for approving all claims, offers, product descriptions, advertisements, and published content before use.
15. IT, Website, and Digital Solutions
For IT, website, automation, hosting, software, integration, or digital solution services, COMTASK does not guarantee uninterrupted operation, permanent compatibility, total security, or error-free performance.
The client is responsible for:
- Maintaining secure passwords
- Backing up important data
- Managing user access
- Renewing domains, hosting, licenses, and subscriptions
- Reviewing website content and system outputs
- Using systems according to instructions
COMTASK is not liable for cyber incidents, data loss, downtime, or technical failures caused by third parties, client misuse, weak passwords, expired services, external attacks, or unauthorized access outside COMTASK’s reasonable control.
16. Trading, E-Commerce, Procurement, and Sourcing
For trading, e-commerce, procurement, sourcing, import, export, and supplier-related services, COMTASK may rely on third-party manufacturers, suppliers, agents, logistics providers, customs brokers, warehouses, marketplaces, and payment providers.
COMTASK is not liable for:
- Product defects caused by suppliers
- Supplier misrepresentation
- Product availability changes
- Stock shortages
- Price changes
- Shipping delays
- Customs delays
- Import or export restrictions
- Regulatory rejection
- Product registration issues
- Marketplace suspension
- Damage during shipping
- Force majeure events
The client is responsible for confirming that products, services, specifications, labels, certifications, and imports comply with UAE law and the law of the destination country.
17. Prohibited and Restricted Activities
COMTASK may refuse, suspend, or terminate any service connected to:
- Illegal goods or services
- Fraud
- Misleading advertising
- Sanctioned persons, countries, or entities
- Money laundering risk
- Counterfeit goods
- Intellectual property infringement
- Cyber misuse
- Privacy violations
- Hate, abuse, harassment, or defamation
- Unlicensed regulated activities
- Any activity that may violate UAE law, international law, platform rules, public order, or COMTASK’s risk standards
COMTASK has no obligation to explain refusal where doing so may create legal, regulatory, commercial, or security risk.
18. Intellectual Property
All COMTASK website content, text, graphics, logos, layouts, templates, documents, business methods, service structures, proposals, reports, creative concepts, code, systems, know-how, and materials are owned by COMTASK or licensed to COMTASK unless stated otherwise.
You may not copy, reproduce, distribute, sell, publish, modify, reverse engineer, or exploit COMTASK materials without written permission.
Custom deliverables remain COMTASK property until full payment is received.
After full payment, the client receives only the usage rights expressly stated in the relevant agreement or proposal.
COMTASK retains ownership of its pre-existing materials, templates, processes, frameworks, methods, tools, know-how, and general expertise.
19. Portfolio Rights
Unless the client requests confidentiality in writing and COMTASK accepts it, COMTASK may mention general project experience, non-confidential work samples, client industry, and general service type in its portfolio, proposals, or marketing materials.
COMTASK will not intentionally disclose confidential client information.
20. Client Materials and Indemnity
The client confirms that all materials provided to COMTASK are lawful and do not infringe third-party rights.
This includes logos, trademarks, text, photos, videos, product claims, customer data, software access, advertising claims, product descriptions, and business documents.
The client agrees to indemnify and hold COMTASK harmless against any claim, penalty, cost, damage, legal fee, or loss arising from client-provided materials or instructions.
21. Confidentiality
COMTASK will take reasonable steps to protect confidential information received from clients.
Confidential information does not include information that:
- Is public
- Was already known to COMTASK
- Was received lawfully from another source
- Must be disclosed by law, court, regulator, bank, auditor, or government authority
- Was independently developed by COMTASK
- Is required to protect COMTASK’s legal rights
22. Personal Data
COMTASK handles personal data according to its Privacy Policy.

23. Electronic Communications and E-Signatures
The client agrees that emails, scanned documents, website forms, electronic approvals, digital signatures, online confirmations, WhatsApp messages, and other electronic records may be used as evidence of instructions, approvals, transactions, and agreements.
The UAE Electronic Transactions and Trust Services Law recognizes the legal role of electronic documents, electronic signatures, electronic seals, and electronic transactions. (TDGRA)
24. Cybersecurity and Online Conduct
The client must not use COMTASK systems, website, files, communication channels, or deliverables for unlawful online activity.
The UAE Cybercrime Law addresses misuse of online technologies, including harmful online conduct, misleading content, and other cyber-related violations. (U.AE)
The client is fully responsible for content, data, files, links, access credentials, or instructions provided to COMTASK.
25. Limitation of Liability
To the maximum extent permitted by UAE law, COMTASK is not liable for:
- Indirect loss
- Consequential loss
- Loss of profit
- Loss of revenue
- Loss of goodwill
- Loss of opportunity
- Loss of data
- Business interruption
- Website downtime
- Platform suspension
- Third-party failure
- Supplier failure
- Client misuse
- Regulatory rejection
- Advertising rejection
- Customs delay
- Cyber incident outside COMTASK’s control
- Delay caused by the client or third parties
If COMTASK is found liable despite these Terms, COMTASK’s total liability shall not exceed the amount actually paid by the client to COMTASK for the specific service that gave rise to the claim.
26. No Guarantee of Outcome
COMTASK provides services with reasonable professional care.
COMTASK does not guarantee any specific legal, financial, commercial, marketing, technical, operational, regulatory, procurement, trading, or business outcome unless expressly stated in a signed written agreement.
27. Indemnification
The client agrees to defend, indemnify, and hold harmless COMTASK, its owners, directors, managers, employees, consultants, contractors, suppliers, and partners from any claim, damage, penalty, loss, liability, cost, or legal expense arising from:
- Breach of these Terms
- Client misuse of services
- Client-provided materials
- Client instructions
- Violation of law
- Violation of third-party rights
- Unpaid fees
- Misleading information
- Failure to obtain approvals
- Claims by the client’s customers, users, suppliers, partners, or regulators
- Use of COMTASK deliverables after delivery
This obligation survives termination of the business relationship.
28. Force Majeure
COMTASK is not liable for delay or failure caused by events outside its reasonable control.
This includes natural disasters, war, civil unrest, government action, regulatory change, cyberattacks, internet failure, hosting failure, supplier failure, logistics disruption, customs delay, banking disruption, power outage, platform outage, public health restrictions, strikes, or any other event beyond reasonable control.
29. Suspension and Termination
COMTASK may suspend or terminate website access, services, accounts, projects, or communications if the client:
- Fails to pay
- Breaches these Terms
- Provides false or misleading information
- Acts unlawfully
- Misuses COMTASK services
- Creates legal or reputational risk
- Fails to cooperate
- Violates third-party platform rules
- Engages in abusive or threatening conduct
Termination does not affect COMTASK’s right to recover unpaid fees, costs, damages, or legal expenses.
30. Records and Evidence
COMTASK may keep business records, emails, approvals, invoices, logs, files, project communications, and transaction records for legal, accounting, tax, compliance, dispute, and audit purposes.
Electronic records may be relied on as evidence where permitted by applicable law.

COMTASK is not responsible for external websites, content, security, privacy practices, products, services, offers, or claims.
